Centerline Holding Company’s Board of Trustees and Executive Officers are committed to maintaining the highest standards of corporate behavior, responsibility, and governance. To that end, Centerline Holding Company has established policies and practices to ensure that our Company is managed with the highest level of integrity and that there is complete transparency and full accountability to our shareholders. Focused on promoting our shareholders’ best interests, the Company adheres to sound principles of corporate governance and to meeting the requirements of federal and state law.

The corporate governance information presented on the Centerline Holding Company website is intended to help our shareholders understand the Company’s governance practices and to provide shareholders with the confidence that our guidelines are not only consistent with the law, but also ensure the highest standards of ethical behavior. Examples of our commitment to corporate governance include:

  • The Board of Trustees is comprised of a majority of members that are independent of management.
  • The independent members of our Board of Trustees meet regularly without management present.
  • Each committee of our Board of Trustees has a written charter to establish its duties and responsibilities.
  • The Board of Trustees has adopted a Code of Business Conduct & Ethics that sets high standards of behavior for all trustees, officers, and employees of the Company and its subsidiaries.
  • A toll-free assistance line and an anonymous web submission system are available for reporting violations of the Code of Business Conduct and Ethics, as well as other questionable accounting activities.
